We are a Singapore-based mid-sized logistics and supply chain company specializing in cross-border logistics, warehousing and fulfilment, and last-mile delivery . We work with businesses across Singapore and the region to provide integrated logistics and supply chain solutions.
We are seeking a commercially minded Legal Counsel to join our team and provide practical legal support across our growing operations.
Role Overview
The Legal Counsel will be responsible for providing day-to-day legal support to the business, with a primary focus on commercial contracts, logistics and transportation arrangements, cross-border operations, regulatory matters, claims and dispute management .
This is a hands-on in-house role. The successful candidate will work closely with the commercial, operations, finance, HR and management teams to identify legal risks, negotiate contracts and provide practical solutions that enable the business to operate and grow.
The role is particularly suited to a lawyer who enjoys working closely with business teams and has an interest in the logistics, supply chain and technology-enabled services sectors.
Key ResponsibilitiesCommercial Contracts
•
Draft, review and negotiate a broad range of commercial agreements, including:
•
Master service agreements
•
Logistics and transportation agreements
•
Warehousing and fulfilment agreements
•
Cross-border logistics agreements
•
Last-mile delivery agreements
•
Vendor and supplier agreements
•
Subcontractor and carrier agreements
•
Service-level agreements
•
Non-disclosure agreements
•
Technology and SaaS agreements
•
Advise internal stakeholders on contractual obligations, liabilities, indemnities, warranties, service levels, termination provisions and limitation of liability.
•
Maintain and improve standard contract templates, terms and conditions and contract playbooks.
•
Identify material contractual risks and recommend commercially workable solutions.
Logistics & Cross-Border Operations
•
Provide legal support to the operations and commercial teams on domestic and cross-border logistics arrangements.
•
Review agreements with freight forwarders, carriers, overseas partners, agents, subcontractors and other logistics providers.
•
Advise on issues relating to shipment loss or damage, delays, misdelivery, inventory discrepancies, claims and service failures.
•
Assist the business in assessing contractual and legal risks when entering new markets or establishing new logistics arrangements.
•
Support management on customs, import/export and other legal or regulatory issues relevant to cross-border operations, with specialist external advice where required.
Warehousing & Fulfilment
•
Review and negotiate warehousing, storage, fulfilment and related service agreements.
•
Advise on liability for inventory, loss, damage, shrinkage, customer property and operational incidents.
•
Support the operations team in managing contractual issues involving third-party warehouses and fulfilment partners.
•
Review relevant leases, licences and operational arrangements where required.
Last-Mile Delivery
•
Advise on agreements with delivery partners, subcontractors, carriers and other service providers.
•
Review customer-facing terms relating to delivery, returns, failed deliveries, loss and damage.
•
Assist the business with contractual claims arising from delivery issues and service-level failures.
Claims & Dispute Management
•
Manage day-to-day commercial claims and disputes.
•
Review demand letters, claims, settlement proposals and dispute correspondence.
•
Work with internal teams to investigate claims and establish appropriate responses.
•
Coordinate with external counsel on litigation, arbitration and other formal proceedings where required.
•
Maintain a register of material disputes, claims and potential legal exposures.
Regulatory & Compliance
•
Monitor and advise on legal and regulatory requirements relevant to the company’s operations in Singapore and its regional activities.
•
Support compliance with applicable requirements relating to logistics, transportation, customs, employment, data protection and commercial activities.
•
Develop practical internal policies and procedures in collaboration with relevant business functions.
•
Escalate complex or specialist regulatory matters to external counsel where appropriate.
Data Protection & Technology
•
Provide legal support on data protection and privacy matters.
•
Review data protection provisions in customer, vendor and technology agreements.
•
Assist with SaaS, software licensing, technology procurement and other technology-related contracts.
•
Work with internal teams on contractual requirements relating to cybersecurity and handling of customer and operational data.
Corporate & Employment Matters
•
Provide general legal support on corporate matters and business initiatives.
•
Liaise with external corporate secretarial advisers and lawyers where necessary.
•
Support HR on employment agreements, policies, disciplinary matters and employee-related legal issues.
•
Assist with corporate and commercial due diligence for new business opportunities, partnerships and strategic projects.
Legal Operations & Risk Management
•
Maintain an organised database of material contracts and legal matters.
•
Track contractual obligations, renewals and key deadlines.
•
Develop practical processes for contract review and legal approvals.
•
Identify recurring legal issues and recommend improvements to business processes and documentation.
•
Assist management with insurance-related matters and claims where appropriate.
Requirements
•
Singapore-qualified lawyer with relevant legal practice experience.
•
Approximately 4-6 years’ post-qualification experience , preferably with meaningful commercial or in-house exposure.
•
Strong experience in drafting and negotiating commercial contracts.
•
Experience in logistics, freight forwarding, transportation, warehousing, supply chain, e-commerce or technology-enabled services would be advantageous.
•
Familiarity with Singapore commercial law and regulatory requirements.
•
Experience handling cross-border commercial arrangements is preferred.
•
Strong understanding of contractual risk, indemnities, limitation of liability, warranties and dispute resolution.
•
Excellent drafting, negotiation and communication skills.
•
Strong attention to detail with the ability to prioritise multiple matters.
•
Able to provide clear, practical advice to non-legal stakeholders.
•
Comfortable working independently while knowing when to elevate matters to senior management or external counsel.
