MANAGER - INVESTMENT BANKING Location: Bengaluru Experience: 7 + years Function: Investment Banking - M&A, Capital Raising, Corporate Finance About the Role: We are looking for a high-calibre Manager - Investment Banking to join a market investment banking practice. The role will involve working closely with the senior advisory team on M&A, private equity, capital raising and strategic advisory transactions across a broad range of sectors and industries. The candidate will have meaningful exposure to transaction execution, financial analysis, valuation, deal structuring, client management and opportunity origination, with the opportunity to work directly with promoters, founders, CEOs, CFOs, investors and professional advisors. The ideal candidate will combine strong technical and analytical capabilities with commercial acumen, excellent communication skills and a strong orientation towards both execution and business development. Key Success Parameters: Success in this role will be measured by: - Contribution to the successful execution and closure of transactions - Ability to independently manage transaction workstreams and deliver high-quality outputs - Effective coordination and relationship management with clients and transaction stakeholders - Generation of actionable transaction ideas and new opportunities - Contribution to mandate origination and development of the firm's transaction pipeline - Development of strong sector knowledge and relevant market intelligence Key Responsibilities: Transaction Execution & Closure: - Work closely with the senior advisory team in executing and closing M&A, private equity and capital raising transactions. - Independently manage identified transaction workstreams and ensure timely and high-quality delivery. - Undertake sector, industry and company research and develop a strong understanding of the client's business, competitive landscape and strategic objectives. - Work directly with clients to gather and analyse primary information and translate business and financial information into actionable insights. - Prepare and review financial models, valuation models, business plans, information memoranda, investor presentations, corporate presentations and other transaction collaterals. - Undertake financial analysis, valuation analysis, transaction benchmarking and other deal-related analysis. - Assist in evaluating transaction structures and strategic and financial alternatives. - Coordinate with promoters, founders, CEOs, CFOs, finance teams, legal and tax advisors, due diligence teams, investors and other stakeholders to ensure effective project management. - Participate in due diligence processes and coordinate responses to transaction-related queries. - Support transaction negotiations, documentation and other activities through to successful closure. Idea Generation & Opportunity Origination: - Conduct sector, industry and company-level research to identify actionable M&A, buy-side, sell-side and capital raising opportunities. - Develop transaction ideas based on industry trends, company fundamentals, strategic objectives, ownership situations, capital requirements and market developments. - Identify potential clients, strategic buyers, investors and acquisition targets and develop relevant transaction hypotheses. - Support the senior advisory team in converting identified opportunities into potential mandates. - Gather market intelligence on prospective clients and prepare company profiles, transaction theses, opportunity assessments, introductions and proposals. - Contribute actively to developing and maintaining a strong transaction pipeline. Client & Stakeholder Management: - Develop and maintain strong professional relationships with promoters, founders, CEOs, CFOs and other senior client stakeholders. - Act as an effective point of coordination between the client, internal teams and external advisors. - Coordinate with teams across locations, including valuation, due diligence, legal, tax and other specialist advisors. - Demonstrate strong ownership, responsiveness and attention to detail in managing client requirements and transaction timelines. - Represent the firm professionally in interactions with clients, investors and other stakeholders. Sector Expertise & Thought Leadership: - Develop strong domain expertise in selected sectors such as Consumer, Healthcare, Industrials and Manufacturing. - Track industry developments, business trends, competitive dynamics, valuation benchmarks and relevant transactions. - Develop sector intelligence, market updates, thematic reports, articles and other thought leadership content. - Translate sector insights and emerging themes into potential transaction ideas and business opportunities. Required Skills & Competencies: Sector & Commercial Understanding: - Strong understanding of selected sectors and demonstrated ability to analyse businesses, industry structures and competitive dynamics. - Strong commercial orientation and ability to identify strategic and financial implications of market developments. - Experience in Manufacturing, Industrials, Consumer and Healthcare sectors will be preferred. Technical & Analytical Skills: - Strong understanding of macro- and microeconomics, business fundamentals and corporate finance. - Exceptional understanding of accounting, financial analysis, valuation and financial modelling. - Strong proficiency in preparing transaction materials including Information Memoranda, Investor Presentations, Business Plans and Financial Models. - Ability to interpret complex business and financial information and distil it into clear, decision-oriented analysis. - Strong proficiency in AI tools and emerging technologies, with the ability to leverage them effectively for research, market intelligence, financial analysis, transaction execution and productivity enhancement. Communication & Leadership Skills: - Excellent verbal, written and presentation skills, with the ability to communicate effectively with senior stakeholders. - Strong interpersonal and relationship management skills. - Ability to work independently while also contributing effectively within a high-performance team. - Strong project management, organisation and stakeholder coordination capabilities. - High degree of ownership, accountability and attention to detail. - Flexible, entrepreneurial and willing to take on diverse responsibilities based on transaction and business requirements. Experience: Candidates should have 7 + years of relevant experience in one or more of the following: - Core Investment Banking - M&A - Corporate Finance - Private Equity - Venture Capital - Family Office, with meaningful transaction exposure - Big 4 or other leading Transaction Advisory - Due Diligence - Deal Advisory practices - Corporate Development or Strategic Finance roles with significant M&A - capital raising exposure Candidates should ideally have: - Direct experience working on M&A and/or capital raising transactions - Demonstrated experience in a client-facing, front-end transaction role - Experience interacting with promoters, founders, CEOs, CFOs, investors and professional advisors - Strong understanding of transaction execution and the broader M&A and capital markets ecosystem - Relevant experience across Manufacturing, Industrials, Consumer and Healthcare sectors Education: - Chartered Accountant (CA); or - MBA - PGDM in Finance from a Tier-1 institution, with a relevant undergraduate qualification. Location: - Bengaluru preferred. - Candidates based in Chennai or other locations in South India may also be considered, subject to relevant experience and role requirements.
