Job Description

Position Summary: The role focuses on providing high-touch tax structuring, succession planning, and transaction advisory to Ultra-High-Net-Worth Individuals (UHNIs), business promoters, and Family Offices. The candidate will serve as a subject-matter expert bridging commercial transactions and legal/tax frameworks, advising clients on family governance, private trusts, mergers, cross-border holding structures, and estate transitions. Key Responsibilities: 1. Succession Planning & Family Governance: - Draft and structure family arrangement documents, family constitutions, settlement deeds, and private family trust deeds to facilitate smooth inter-generational wealth transfers. - Advise promoter families on reorganizing operating companies and personal asset holdings to minimize capital gains leakage and prevent family disputes. - Design ring-fencing structures and asset-protection mechanisms tailored to complex family balance sheets. 2. Transaction Tax & Corporate Reorganization: - Review and analyze key transaction agreements (Share Purchase Agreements, Shareholders Agreements, Joint Venture Agreements, Debenture Trust Deeds) from a tax, regulatory, and commercial standpoint. - Advise clients on domestic restructurings, including mergers, demergers, slump sales, and capital reduction exercises. - Model and evaluate post-merger capitalization tables (cap tables) to analyze promoter dilution, stamp duty liabilities, and anti-abuse provisions under Section 56(2)(x). 3. Private Capital & Fund Advisory: - Resolve complex direct tax, FEMA, and regulatory queries arising from inbound/outbound investments, angel investments, and commitments into Alternative Investment Funds (Category I, II, and III AIFs). - Advise on the tax implications of structured debt and hybrid instruments, unlisted equity exits, and secondary share sales. - Ensure alignment with Double Tax Avoidance Agreements (DTAA), General Anti-Avoidance Rules (GAAR), and Place of Effective Management (POEM) guidelines.
