Senior Corporate Counsel Location: Flexible / Remote (United States) Position Summary Legence is seeking an experienced and business-oriented Senior Corporate Counsel to join its Legal Department.

Reporting to the General Counsel and working closely with senior business leaders across the organization, this attorney will provide legal support for mergers and acquisitions, acquisition integration, commercial transactions, financing activities, real estate matters, tax-related initiatives, corporate governance support, and strategic corporate projects.

Key Responsibilities

Mergers & Acquisitions / Acquisition Integration Support all stages of acquisitions and divestitures, including: ◦ Letters of intent ◦ Confidentiality agreements ◦ Due diligence ◦ Disclosure schedules ◦ Purchase and sale agreements ◦ Closing documentation Coordinate post-closing integration efforts with business and functional leaders.

Assist with implementation of integration plans and post-acquisition governance matters. Support strategic transactions and corporate restructuring initiatives. Commercial Transactions & Contracting

• Draft, review, negotiate, and advise on: ◦ Master Services Agreements ◦ Statements of Work ◦ Vendor agreements ◦ Procurement agreements ◦ Professional services agreements ◦ Confidentiality agreements ◦ Partnership agreements ◦ Real estate
