Job Description
Role Summary The Chief Legal Officer (CLO) is the senior legal executive responsible for overseeing the organization's legal strategy, governance, regulatory compliance, corporate affairs, and risk management.
The CLO serves as a trusted advisor to the CEO, Board of Directors, and executive leadership team, ensuring the organization operates within legal and regulatory frameworks while supporting business growth and strategic initiatives.
Key Responsibilities
1. Legal Strategy & Executive Advisory Serve as the principal legal advisor to the CEO, Board, and executive leadership team. Develop and execute the organization's legal strategy in alignment with business objectives.
Provide legal guidance on strategic initiatives, mergers and acquisitions, partnerships, and corporate restructuring. Anticipate and mitigate legal risks associated with business operations and growth. 2. Corporate Governance Ensure compliance with corporate governance standards and best practices.
Advise the Board and executive leadership on fiduciary responsibilities and governance matters. Manage board resolutions, corporate records, and governance policies. Support corporate secretarial functions where applicable. 3.
Regulatory Compliance & Risk Management Oversee enterprise-wide legal and regulatory compliance programs. Ensure compliance with applicable laws, regulations, and industry standards. Monitor regulatory developments and assess their impact on the organization.
Develop legal risk mitigation frameworks and compliance controls. 4. Contracts & Commercial Transactions Lead the negotiation, drafting, and review of significant commercial agreements. Oversee contract management processes and legal documentation standards.
Provide legal support for strategic partnerships, vendor agreements, and customer contracts. Ensure contractual arrangements adequately protect organizational interests. 5. Litigation & Dispute Resolution Manage litigation strategy and external legal counsel relationship
