Legal Counsel

We are looking for a Legal Counsel to support a broad range of legal matters, with a primary focus on commercial contracts with clients and vendors. The role also covers intellectual property, corporate matters, compliance, privacy and other day-to-day legal issues across an international technology business.

Responsibilities

Draft, review and negotiate wide range of contracts, including MSAs, SOWs, NDAs, DPAs, software, SaaS, licensing and vendor agreements. Independently manage contract negotiations with clients, vendors and external counsel. Identify legal and commercial risks and provide practical solutions and fallback positions.

Advise internal teams on legal matters arising in different jurisdictions, with a focus on the US and Europe. Support IP-related matters, including software ownership, licensing, copyright and trademarks. Support corporate, compliance, privacy and other legal matters as needed.

Conduct legal research and prepare clear, concise legal advice.

Requirements

Master’s degree in Law. 3+ years of relevant legal experience, preferably in an IT or technology company. Strong experience drafting and negotiating commercial and technology contracts governed by US law and/or English law.

Good understanding of key technology-contract issues, including liability, indemnities, IP, data protection, information security and licensing. Advanced English and Ukrainian. Practical experience using generative AI tools in legal work.

Nice to Have

Understanding of the US tax system. Experience in the IT services, software development or outsourcing industry. Experience with privacy, cybersecurity or AI-related legal matters.

Experience with information security and privacy frameworks or assurance standards, including ISO 27001, ISO 27701, SOC 2 or NIST frameworks. Experience implementing or building legal-tech or automation tools, including AI-assisted development or vibe coding.
