Job Description

The core mission of this role is to professionalize the holding company's financial architecture, lead aggressive capital raising and M&A initiatives, and ensure the group is rigorously prepared for a mid-term liquidity event or IPO. Key Responsibilities: The Group CFO is mandated to oversee the full financial lifecycle of the holding company and its diversified assets. Key strategic pillars include: - Capital Markets & PE Fundraising: Leading the group's engagement with private equity firms and institutional investors to secure growth capital. - Corporate Banking & Treasury: Architecting and syndicating complex group-level credit facilities and managing multi-currency treasury operations. - Corporate & Tax Architecture: Optimizing the group's legal and fiscal structure within ADGM/DIFC frameworks to support cross-border commercial ventures and tax efficiency. - Portfolio Governance: Implementing rigorous capital allocation frameworks to maximize ROI across the manufacturing and consumer platforms. Capital Raising & Investor Relations: - Drive equity and debt fundraising activities, managing the end-to-end process from pitch deck creation to closing. - Manage relationships with external shareholders, investment banks, and private equity partners. - Negotiate and maintain relationships with local and international corporate banking partners. - Oversee group-wide liquidity management and syndication of credit facilities. Tax & Cross-Border Structuring: - Design and implement an institutional-grade corporate structure using ADGM/DIFC jurisdictions. - Manage cross-border tax compliance and structuring for international commercial ventures. Portfolio FP&A & Commercial Governance: - Provide high-level commercial oversight for all operating assets, ensuring performance aligns with group-level strategic goals. - Implement advanced financial modeling and forecasting to support real-time decision-making. Systems, IFRS Audit & IPO Readiness: - Standardize accounting policies across the group in full compliance with IFRS. - Lead the transition of all subsidiaries to institutional audit standards (Big 4) in preparation for IPO. - Implement a group-wide IFRS-compliant reporting framework across all subsidiaries. Key Requirements: - Must hold a CA, CPA, CFA, or an MBA from a top-tier global institution. - 15 - 18 years of total progressive financial experience. - 3 - 5 years of experience in Investment Banking (IB), Private Equity (PE), or Big 4 M&A Advisory. - 5 - 8 years of experience in a senior financial leadership role (CFO or Finance Director) within a multi-entity holding structure. - Advanced expertise in financial modeling, valuation, and complex transaction management.
