Summary of Role: We are seeking a senior-level attorney (at least 7 years of experience) to support the drafting, review, and negotiation of technology agreements across GlobalFoundries ’ product lines, including in particular the processor IP businesses of GF’s two recently announced acquisitions: MIPS and the ARC processor business of Synopsys. The individual should have significant recent technology transactions experience in the fabless semiconductor industry and a solid understanding of both the foundry and fabless industries including the underlying technologies and business drivers of each. This is an exciting opportunity to join a collaborative legal team and contribute to meaningful front-line work every day that drives our business forward. Essential Responsibilities: Support licensing business by (i) reviewing and revising IP outlicense agreements and associated schedules and (ii) negotiating related legal and IP terms such as usage rights, warranty, indemnity, and support provisions. Draft, review and revise other technology-related agreements, employing technical, IP, legal and business insight to drive positive business outcomes, while ensuring accuracy and compliance. Example agreement types include procurement, development and license agreements related to process technology, custom silicon, EDA tools, design IP (such as processor cores) and software.
